ZENE TERMS OF USE

Effective Date: June 1, 2025

Welcome to Zene! These Terms of Use (“Terms”) govern your access to and use of the Zene mobile applications (Android, iOS), website, desktop clients (Linux, Web), and any other services provided by Zene Music (“Zene,” “we,” “our,” or “us”). By accessing or using any part of Zene, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of our services.

1. Eligibility and Account Registration

1.1 Age Requirement

  • You must be at least 13 years old (or the minimum age required in your jurisdiction) to create an account or use Zene.
  • If you are under the required age, you are not permitted to use Zene, and we reserve the right to suspend or terminate your access.

1.2 Account Creation

To access certain features (e.g., personalized recommendations, playlists, social sharing), you must register for an account.

You may sign up via:

  • Google Sign-In
  • Facebook Login
  • Apple Sign-In

When you register, you agree to provide accurate, current, and complete information. You are responsible for updating your account information if it changes.

1.3 Account Security

  • You are entirely responsible for safeguarding your password, account credentials, and for any activity that occurs under your account—even if the activity is by someone else.
  • You agree to promptly notify Zene of any unauthorized use, suspected breach of security, or any other breach of confidentiality. Zene is not liable for any loss or damage arising from your failure to comply with this provision.

2. Privacy and Personal Data

2.1 Data We Collect

  • Account Information: Name, email address, profile photo (if provided by Google, Facebook, or Apple).
  • Music Interaction Data: Listening history (saved for up to 60 days), liked songs, playlists, music preferences, search queries.
  • Device & Technical Data: Device model, operating system version, unique device identifiers, IP address, general location (country and region based on IP).
  • Third-Party Service Data: Data captured by third-party APIs and SDKs (YouTube API, Pinterest API, Giphy API, PlayerFM API, Bing News API, Truecaller SDK for phone number verification).

2.2 Data Retention

Your listening history is automatically cleared after 60 days. We retain other data (account details, preferences, device data) only as long as necessary to provide the Service or as required by law.

2.3 How We Use Your Data

  • Provide, maintain, and improve Zene.
  • Personalize your experience (recommendations, playlists, content).
  • Perform analytics and understand usage patterns.
  • Detect, investigate, and prevent fraudulent or unauthorized activities.
  • Communicate with you about new features, updates, or special offers (subject to your marketing preferences).
  • Comply with legal obligations (e.g., GDPR, CCPA).

2.4 Data Sharing and Third Parties

  • We do not sell or rent your personal data to third parties.
  • We do not share your personal data for advertising or marketing.
  • We may share aggregated, de-identified usage data with partners or vendors to help us improve the Service.
  • Third-Party Integrations:
    • When you stream via YouTube API or PlayerFM API, the third party may collect usage data subject to its own privacy policy.
    • Truecaller SDK verifies phone numbers; the SDK provider may collect basic metadata solely for verification.
    • Pinterest API, Giphy API, and Bing News API retrieve external content. They may track usage according to their respective policies.
  • We do not share any of your personal data with these third parties, and they do not have access to your personal information beyond what you explicitly provide when using their features.
  • If required by law (e.g., a valid subpoena, court order, or government request), Zene may disclose your personal data to law enforcement or regulatory authorities.

2.5 Your Rights

  • European Residents (GDPR): Right to access, rectify, erase, restrict processing, object to processing, and data portability.
  • California Residents (CCPA): Right to know what personal information is collected, to delete personal information, and to opt out of the sale of personal information (not applicable, as we do not sell personal data).

3. User Conduct and Content

3.1 User Responsibilities

  • You agree to use Zene in a lawful manner and to comply with all applicable laws and regulations.
  • You will not:
    • Post, upload, or share any content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable.
    • Harass, bully, or threaten others.
    • Attempt to gain unauthorized access to other accounts, computer systems, or networks.
    • Reverse engineer, decompile, or disassemble the Zene client software (to the extent prohibited by law).
    • Use automated means (scripts, bots) to scrape, extract, or collect data from Zene without our written permission.

3.2 User-Generated Content

  • If you choose to upload or share content (e.g., playlists, comments, profile images), you represent and warrant that you own the rights to that content or have obtained all necessary licenses and permissions.
  • By posting content on Zene, you grant Zene a non-exclusive, worldwide, royalty-free, fully paid license to use, reproduce, modify, adapt, publish, translate, distribute, and display that content on or through Zene.
  • You may remove your user-generated content at any time. However, copies may remain on archived backups for a reasonable period of time or until they are rotated out.

3.3 Prohibited Content

  • Content that promotes violence, hate speech, or illegal activities.
  • Content that infringes intellectual property rights (copyright, trademark, publicity rights).
  • Pornographic or sexually explicit content.
  • Malware, phishing attempts, or any code designed to compromise the security of other users.
  • Any advertisement or solicitation without Zene's express prior written consent.

Zene reserves the right (but is not obligated) to monitor, remove, or disable access to any content that violates these Terms or is otherwise objectionable. We may suspend or terminate your account if you repeatedly violate our policies.

4. Intellectual Property

4.1 Zene Content Ownership

All trademarks, service marks, trade names, trade dress, graphics, logos, text, and the overall design of Zene (collectively, the “Zene Content”) are protected by copyright, trademark, and other intellectual property laws.

Zene does own any rights to the music or media content delivered through third-party APIs (e.g., YouTube, Pinterest, Giphy, PlayerFM, Bing News); all rights to that content belong to their respective copyright holders, and your use of such content is subject to the third party's terms and conditions.

4.2 Limited License to Use Zene

Subject to your compliance with these Terms, Zene grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

4.3 Feedback and Suggestions

If you provide suggestions, ideas, or feedback (“Feedback”) related to Zene, you grant Zene a worldwide, royalty-free, irrevocable license to use, reproduce, modify, and incorporate that Feedback into our products or services without any obligation of confidentiality or compensation to you.

5. Third-Party Services, Links, and Advertisements

5.1 Third-Party Services

Zene relies on third-party APIs such as YouTube, Pinterest, Giphy, PlayerFM, and Bing News. Your use of those features is subject to the third party's terms of service and privacy policies. We do not control or endorse the content provided by those services and are not responsible for any errors, availability issues, or changes to their features.

We do not share any of your personal data with these third parties, and they do not have access to your personal information beyond what you explicitly provide when using their features.

5.2 External Links

Zene may contain links to third-party websites or services that are not owned or controlled by Zene. We are not responsible for the content or practices of those websites. Your interactions with third-party websites are governed by their own terms and privacy policies.

5.3 Advertisements and Promotions

Zene uses its own “Zene Ads” platform as well as third-party services like AdMob and AdSense to display advertisements or sponsored content within the Service. We do not guarantee the accuracy, quality, or legality of any advertised products or services. All advertisers and sponsors—whether using Zene Ads, AdMob, AdSense, or any other network—are solely responsible for their content and any claims or representations they make.

6. Payment, Subscriptions, and Refunds

6.1 Payment Methods

Zene offers paid subscriptions, in-app purchases, and premium features (“Zene Luxe”) via platform-specific payment systems:

  • Android (Google Play): Subscriptions are managed through Google Play's In-App Billing. You authorize payments using your Google account. For details on Google Play's policies, visit Google Play Subscriptions.
  • iOS (Apple App Store): Subscriptions and in‐app purchases are processed via Apple's In‐App Purchase system. You authorize payments with your Apple ID. For more information, see Apple In‐App Subscriptions.
  • Web (Stripe): Subscriptions on our website are handled through Stripe. You provide valid payment information (credit/debit card) directly to Stripe; Zene does not collect or store full card details. For Stripe's subscription documentation, visit Stripe In‐App Subscriptions.

6.2 Billing and Renewal

Subscriptions automatically renew at the end of each billing cycle unless canceled beforehand. The renewal process depends on your purchase platform:

  • Google Play: By default, your subscription renews each month/year. Manage or cancel anytime via the Google Play Store → Menu → Subscriptions (see Google Play Subscription Management).
  • Apple App Store: Subscriptions renew automatically unless turned off at least 24 hours before the end of the current period. Manage or cancel via Settings → [Your Name] → Subscriptions (see Apple Subscription Management).
  • Stripe (Web): Web subscriptions renew according to the interval you selected (monthly, annual, etc.). You can manage or cancel your plan by logging into your Zene account's Billing section.

You are responsible for any applicable taxes, duties, or fees imposed by your local jurisdiction on transactions made through Zene.

6.3 Refund Policy

Refund eligibility and timelines vary by platform and subscription type:

  • Google Play (Android): Refund requests must be submitted within 48 hours of purchase via the Google Play Help Center. After 48 hours, you can request a refund through the Zene support team, but approval is not guaranteed. Learn more at Google Play Refunds.
  • Apple App Store (iOS): Refund requests are handled by Apple. You can report a problem within 90 days of purchase at Apple Problem Reports. Typical processing takes 3–7 business days.
  • Stripe (Web): For web purchases, you may request a refund within 3–7 days of the transaction, depending on your subscription plan. To initiate a refund, contact our support team at knocknock@zenemusic.co. We will review your request and process eligible refunds via Stripe.

Unless otherwise required by applicable law, all refunds are subject to platform rules. If you believe you were charged in error, please contact our support team within the specified window for your platform.

7. Disclaimers and Limitations of Liability

7.1 Content Disclaimer

ZENE AND ALL ZENE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZENE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

7.2 Informational Purposes Only

Any recommendations, playlists, or user-generated content are for informational and entertainment purposes only. You assume all risks when relying on such content.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ZENE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ZENE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) $50 USD OR (B) THE AMOUNTS YOU PAID TO ZENE IN THE LAST SIX (6) MONTHS PRIOR TO THE CLAIM, IF ANY.

8. Indemnification

You agree to defend, indemnify, and hold harmless Zene and its officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your breach of these Terms;
  • Your negligent or willful misconduct;
  • Your violation of any law or right of a third party;
  • Your use of Zene (including any content you submit, post, or transmit).

9. Account Suspension and Termination

9.1 Termination by You

You may terminate your Zene account at any time by following the account deletion instructions within the app or website. When you terminate your account, your profile and all user data (except for data required for legal or regulatory purposes) will be deleted within a reasonable period.

9.2 Suspension or Termination by Zene

We reserve the right to suspend or terminate your account and access to Zene (or any portion thereof) at any time, without notice, if we believe you have violated these Terms or if we believe your conduct may cause legal liability or harm to Zene, other users, or third parties.

9.3 Effect of Termination

Upon termination, your right to use Zene immediately ceases. Sections 2 (Privacy), 3 (User Conduct), 4 (Intellectual Property), 5 (Third-Party Services), 7 (Disclaimers), 8 (Indemnification), 9 (Account Suspension and Termination), 10 (Changes to Terms), 11 (Governing Law), and 12 (Miscellaneous) will survive termination.

10. Changes to These Terms

We may revise or update this Policy at any time. When we do:

  • We will post the revised Policy on our legal page (zenemusic.co/legal) with a new “Last Updated” date.
  • You can view and check the latest Privacy Policy at any time by visiting our legal page.

By logging in to Zene and continuing to use the app, you accept any changes to the Terms of Use and Privacy Policy.

Zene is GDPR and CCPA compliant. If you wish to delete all your data and close your account, please email us at knocknock@zenemusic.co.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and your use of Zene are governed by and construed in accordance with the laws of the Republic of India (where Zene is headquartered), without regard to its conflict of law principles.

11.2 Dispute Resolution

If a dispute arises between you and Zene, we encourage you to first reach out to us at knocknock@zenemusic.co to attempt to resolve the issue informally. If we cannot resolve the dispute informally within 30 days, either party may initiate binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration will take place in Mumbai, India, and will be conducted in English. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

11.3 Waiver of Class Actions

You and Zene each agree that any arbitration will be limited to the dispute between Zene and you individually. You agree that you may bring claims against Zene only on your own behalf and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zene regarding your use of the Service and supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written.

12.2 Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

12.3 Waiver

No waiver of any breach or failure to enforce any provision of these Terms by Zene shall be deemed a waiver of any subsequent breach or right to enforce.

12.4 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder without Zene's prior written consent. Zene may assign or transfer these Terms at any time without restriction.

12.5 Notices

We may provide notices to you by email, by posting within the Service, or by other reasonable means. You agree that notices delivered by email or in-app messages are sufficient to meet any legal requirement that such notices be in writing.
